By clicking “I AGREE,” checking a related box, or otherwise accepting these Terms and Conditions, you acknowledge that you have read, accepted, and agree to be bound by this Agreement. If you do not agree to these Terms and Conditions, do not use or access our service.

1. ACCEPTANCE OF TERMS

1.1. GoRocky Medical Inc.(referred to as “GoRocky”, "Company," "We," "Us," or "Our") provides telehealth services, including medical consultations, prescriptions, and related healthcare products through the GoRocky and GoSlim platforms (collectively, the "Service").

1.2. By using the Service, you agree to abide by these Terms and Conditions. If you do not accept these terms, do not create an account or use the Service.

1.3. We reserve the right to modify or update these Terms at any time. Any changes will be posted on our platform, and your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. YOUR ACCOUNT

2.1. Eligibility: You must be at least 18 years old or have reached the age of majority in your jurisdiction to use the Service.

2.2. Account Registration: To use certain services, you must register an account with GoRocky. You are responsible for maintaining the confidentiality of your login information and for any activity under your account.

2.3. False Information: If we discover that you have provided false or misleading information, we reserve the right to suspend or terminate your account without liability.

3. MEDICAL SERVICES AND CONSULTATIONS

3.1. Telehealth Services: Through our platform, users can consult with licensed medical professionals. These consultations are subject to medical availability and your location in the Philippines.

3.2. No Doctor-Patient Relationship with GoRocky: By using our platform, you acknowledge that GoRocky is not a healthcare provider. Instead, you are entering into a healthcare provider-patient relationship directly with the medical professionals who offer services through the platform.

3.3. Prescription: Prescription medications will only be dispensed after a consultation with a licensed healthcare provider who has determined that the prescribed medication is appropriate for you.

3.4. Risks: While telehealth services offer convenience, there are risks, including technical failures, delays, and security breaches, which you acknowledge by using the platform.

4. PAYMENTS AND REFUNDS

4.1. Payment: Payment for consultations, prescriptions, and products must be made via our secure payment gateway. Prices are subject to change, and any such changes will be reflected on the platform.

4.2. Refunds: Refunds are not available for consultations or services once confirmed. Refunds may be offered at our discretion in cases of service unavailability or if a prescription cannot be fulfilled.

4.3. Subscription Services: Certain products and treatment programs are offered on a subscription basis. Subscriptions are fixed-term commitments and are governed by Section 5 (Subscription Programs) below, which prevails over this Section 4 in the event of any inconsistency.

5. SUBSCRIPTION PROGRAMS

5.1. Fixed-Term Commitment: When you enroll in a subscription program, you commit to the full number of months shown on the checkout page (the “Term”) and to the total program price for that Term (the “Program Value”). Your monthly or quarterly payments are a payment schedule for the Program Value, not a series of separate month-to-month purchases that you may stop at will. The Term, the Program Value, the payment schedule, and the delivery schedule are all displayed to you before you confirm your order.

5.2. Discounted Pricing Is Conditional on the Term: Subscription pricing is lower than our standard one-time price because it is granted on the basis that you will complete the full Term. If your subscription ends early for any reason attributable to you, the discount is forfeited and the medicine and services you have already received are re-priced at our standard non-subscription price, as described in clause 5.7.

5.3. Authorization to Charge: By enrolling, you authorize GoRocky and our payment processor to securely store your card details and to automatically charge each scheduled payment on its due date for the duration of the Term, without further notice or authorization from you for each individual charge. It is your responsibility to keep a valid payment method on file.

5.4. Advance Supply — You Receive Medicine Before You Have Paid for It: Your medicine is dispensed in multi-month packs while your payments are collected on a shorter cycle. This means that for most of the Term you will be holding medicine whose value is greater than the amount you have paid to date. We extend this advance supply as a convenience and on the strength of your commitment to the full Term. You remain liable for the full value of all medicine dispatched to you, whether or not the corresponding installments have yet fallen due.

5.5. Deliveries and Medical Clearance: Each scheduled delivery is subject to a medical review. We may withhold, delay, or adjust a delivery where a prescriber requires a check-in, a repeat assessment, or a change of treatment, or where a required assessment has not been completed. Where a delivery is withheld for these reasons, the corresponding payments are paused or adjusted accordingly.

5.6. Failed or Declined Payments: If a scheduled payment fails, we will re-attempt it. If it remains unpaid, your subscription will be marked past due, and we may suspend further deliveries until the outstanding balance is settled. Suspension of deliveries does not cancel your subscription and does not discharge you from liability for medicine already delivered.

5.7. Cancellation and Early Termination: You may request to end your subscription before the end of the Term. Because subscriptions are not self-service, the following applies:

(a) How to request: Cancellation requests must be made to our care team at [email protected] or through the contact channels in your account. A cancellation takes effect only once we have confirmed it to you in writing; scheduled payments continue until that confirmation is issued.

(b) Settlement for medicine already received: Where the value of the medicine and services already delivered to you exceeds the total amount you have paid, the difference becomes immediately due and payable on cancellation. That difference is calculated at our standard non-subscription price for the units actually dispatched to you, less all payments already collected.

(c) Early termination fee: Where you end your subscription before the end of the Term other than at a scheduled review point, an early termination fee applies. The fee covers medicine already prepared and allocated to you, prescriber oversight, the operational cost of your program, and the discount you received on the assumption of the full Term. The amount of the fee, and whether it is reduced or waived in your circumstances, is determined by GoRocky at its sole discretion and may be up to the full unpaid balance of the Program Value. The fee is disclosed to you in writing, and you are given the opportunity to confirm, before the cancellation is finalized.

(d) Returns: Medicine that is unopened, unused, and whose storage integrity can be verified may be credited against the amount owing, at our discretion and in accordance with our Return and Refund Policy. Opened, used, or improperly-stored medicine cannot be returned or credited, for safety reasons.

(e) Cooling-off: Where you cancel before any medicine has been dispatched to you, no early termination fee applies and any amount collected is refunded in full.

(f) Alternatives to canceling: If your circumstances have changed — including where you have reached your treatment goal earlier than expected — you may instead request a consultation to pause your program, to adjust your dose, or to transition to a maintenance dose. Our care team will explain the options available to you before any cancellation is processed.

5.8. Cancellation by Us: We may end your subscription where a prescriber determines that the treatment is no longer clinically appropriate for you, where you become medically ineligible, where you fail to complete a required medical review, or where you breach these Terms. Where we end your subscription on clinical grounds and you are not in breach, no early termination fee applies and you are charged only for medicine and services already delivered.

5.9. Changes to Your Program: Changes to your delivery address, dose, or program items are made through our care team and take effect from the next unfulfilled delivery. Changes may alter the Program Value; any such change is confirmed to you before it is applied.

5.10. Price Protection and End of Term: The Program Value is fixed for the duration of the Term and is not affected by subsequent price changes. Subscriptions do not renew automatically: your program ends when the Term is completed, and any continuation requires a new order at the price then in effect.

6. COMMUNICATION

6.1. Consent to Communication: By using our service, you consent to receive communications from us regarding your health, prescriptions, appointments, and marketing purposes, as outlined in our Privacy Policy.

6.2. Third-Party Communication: You may receive communication from our third-party providers, including pharmacies or medical groups, but only for the purpose of fulfilling our services to you.

7. THIRD-PARTY SERVICES

7.1. External Services: The Service may include links to third-party websites or content. We are not responsible for the accuracy or legality of such third-party services or content.

7.2. No Endorsement: The inclusion of any third-party content or services does not imply endorsement or approval by GoRocky.

8. USER OBLIGATIONS

8.1. You agree not to use the Service for illegal or unauthorized purposes, including posting harmful, defamatory, or unlawful content.

8.2. Prohibited Activities: You may not upload content that violates intellectual property rights or engage in any behavior that disrupts the use of the Service for other users.

9. CANCELLATIONS AND REFUNDS

9.1. Once a consultation or service is confirmed, cancellations initiated by the user are non-refundable.

9.2. If the service cannot be fulfilled, we may offer a refund or alternative arrangements at our discretion.

10. LIMITATION OF LIABILITY

10.1. No Liability for Medical Actions: We are not responsible for any medical decisions made by healthcare professionals via the platform.

10.2. Platform Availability: We make no guarantees regarding the uninterrupted availability or performance of the platform.

11. DISPUTE RESOLUTION

11.1. Arbitration: Any disputes arising under these Terms will be resolved through binding arbitration in accordance with Philippine laws. Arbitration is the exclusive means of resolving disputes, and both parties waive the right to participate in class actions.

11.2. Opt-Out: You may opt-out of arbitration within 30 days of first becoming subject to these Terms by sending a notice to [email protected].

12. PRIVACY AND DATA PROTECTION

12.1. Privacy Policy: We respect your privacy and will handle your personal information according to our Privacy Policy. By using the Service, you consent to the collection and use of your personal data in accordance with our policy.

12.2. Health Information: We will use and protect your health information as required by applicable laws, including the Data Privacy Act of 2012 (Republic Act No. 10173).

13. GOVERNING LAW AND JURISDICTION

13.1. Applicable Law: These Terms are governed by the laws of the Philippines.

13.2. Jurisdiction: Any legal action or proceeding related to these Terms will be brought in the appropriate courts located in the Philippines.

14. MISCELLANEOUS

14.1. Entire Agreement: These Terms represent the entire agreement between you and GoRocky.

14.2. Modification of Terms: We reserve the right to modify these Terms at any time. Changes will be posted on the website, and your continued use of the Service will constitute acceptance of the revised Terms.
